1. About Cherish Nova
Cherish Nova develops and produces live events and creative shows. Registered with the Dutch Chamber of Commerce under number 61236217. VAT number: NL002278179B31.
2. Scope
These terms apply to all offers, agreements and collaborations between Cherish Nova (“we”) and the client (“you”), unless otherwise agreed in writing.
3. Quotes & Confirmation
|All quotes are non-binding and valid for 30 days unless stated otherwise. A project is confirmed once we receive written approval or mutual written confirmation after verbal agreement. Changes to the project are only binding once confirmed by Cherish Nova in writing.
4. Project Execution & Force Majeure|
Cherish Nova is committed to delivering each project with the highest level of care, creativity and professionalism. We reserve the right to adjust content, timing or location due to force majeure, safety or legal circumstances — without liability for damages. Force majeure includes (but is not limited to) government restrictions, strikes, pandemics, extreme weather, illness, power outages or missing third-party deliveries.
In such cases, the project may be postponed, adjusted or cancelled. Any costs already incurred remain the client’s responsibility, and we will work together to find a fair solution or new date.
5. Client Responsibilities|
Clients must provide all required information, permits and access to locations on time. You are responsible for the safety and accessibility of the venue, unless agreed otherwise. Delays or extra costs caused by incomplete information will be charged accordingly.
6. Liability
Cherish Nova is liable only for direct damage resulting from intent or gross negligence, up to the total project fee. We are not liable for indirect or consequential damage, or damages caused by third parties. The client is responsible for damage caused by their guests, participants or negligence.
7. Intellectual Property
All creative work — including concepts, scripts, designs and artistic direction — remains the property of Cherish Nova unless agreed otherwise in writing. Re-use or reproduction without written permission is not allowed.
8. Payment Terms|
To ensure a professional production process, payments are divided as follows:
- 40% upon written project confirmation,
- 50% one week before the event,
- 10% within 14 days after the event.
Late payments may result in suspension of the project and incur statutory interest and collection costs.
9. Cancellation
If a client cancels within 30 days before the event, 50% of the quoted amount is due. If cancelled within 7 days, 100% is due. All costs already incurred (including artists, suppliers and partners) remain payable. In case of force majeure, Cherish Nova may cancel the agreement without liability.
10. Confidentiality
Both parties agree to treat all shared information as confidential and to use it solely for the agreed collaboration.
11. Legal Framework
All agreements are governed by Dutch law. Disputes will be handled by the competent court in Amsterdam, The Netherlands.
